Government Dissolves 60 Companies as 80 More Face Deregistration in Sweeping Crackdown

The government has dissolved 60 more companies with 80 more to be deregistered as the purge of inactive and non-compliant businesses continues across the country.

In a gazette notice issued Friday, Deputy Registrar of Companies Hiram Gachugi confirmed the firms had been struck off the Register of Companies in accordance with Section 897(4) of the Companies Act.

“Pursuant to section 897(4) of the Companies Act, it is notified for the information of the general public that the following companies are dissolved and their names have been struck off the Register of Companies with effect from the date of publication of this notice,” the notice read in part.

With this notice, the listed companies are now dissolved and can no longer operate, open or manage bank accounts, enter into legal contracts or conduct business under their previous names.

Wide Reach

The 60 companies dissolved span across technology, healthcare, shipping, real estate, education and energy. The registrar’s office however did not give reasons for the closures.

Under Kenyan law, companies can be deregistered for reasons such as prolonged inactivity, failure to file annual returns, non-compliance with statutory requirements or through voluntary application for closure.

Once a company is struck off, any assets it holds become bona vacantia—meaning they are deemed ownerless and can be claimed by the government. To avoid this, companies are advised to distribute or transfer their assets before dissolution.

No Comeback Without Fresh Application

The law also bars dissolved companies from re-opening under the same name. A new application must be filed and approved by the Registrar of Companies for any attempt at revival.

In the same gazette notice, the registrar listed 80 companies that are being struck off under Sections 897(3) and 897(4) of the Companies Act.

This is the second time in two weeks the government has deregistered 75 companies on September 5.
